Terms of Service

Agreement

These Terms of Service govern your access to and use of EquipDex. By creating an account, signing in, or otherwise using the service, you agree to these Terms. If you do not agree, do not use EquipDex.

Eligibility and authority

EquipDex is intended for businesses and organizations that operate fleets and equipment. Users who create or administer a company account represent that they have authority to act on behalf of that business or organization where applicable.

Accounts

You are responsible for keeping your account information accurate and for safeguarding access to your account, including your password and any sign-in method you use. You are responsible for activity that occurs under your account.

Company administrators and permissions

Owners and Managers of a company account may invite other users and assign roles and permissions. Each organization is responsible for deciding who should have access to its company account and what those users are allowed to do.

Customer data

You retain your rights in the business and fleet information you submit to EquipDex. You grant EquipDex the limited rights necessary to host, process, transmit, back up and otherwise handle that information in order to operate and support the service. EquipDex does not claim ownership of your fleet data.

Acceptable use

You may not use EquipDex for unlawful purposes or in any way that could harm the service or other users. Specifically, you may not:

• Use EquipDex for unlawful activity.
• Attempt to gain unauthorized access to the service or another company's data.
• Interfere with the service, its security or its performance.
• Introduce malicious code or exploit vulnerabilities.
• Access or misuse data belonging to another company or user.
• Use the service to violate the rights of others.
• Attempt to bypass permissions, roles or other security controls.

Fleet and maintenance disclaimer

EquipDex is a recordkeeping, maintenance-management and organizational tool. It is not a substitute for qualified mechanics or technicians, manufacturer service information, inspection requirements, regulatory requirements, professional mechanical judgment, or safe operating practices.

You remain responsible for deciding whether equipment is safe to operate and for performing required inspections, maintenance and repairs. Maintenance reminders, service intervals and records in EquipDex do not constitute a safety certification.

Data accuracy

You are responsible for the accuracy of information you enter into EquipDex. You should independently verify important maintenance, cost, inventory and equipment information before relying on it for operational or safety decisions.

Availability and Early Access

EquipDex is currently in Early Access. Features and the service may change, improve or be updated over time. We do not promise uninterrupted or error-free service, and we do not guarantee any particular future feature.

Backups

EquipDex maintains backup and recovery measures, including independent nightly backups, to help protect service data. However, customers remain responsible for maintaining copies of information they consider critical where appropriate. We cannot guarantee recovery from every possible data loss scenario.

Third-party services

Portions of EquipDex rely on third-party infrastructure and services, such as hosting, database, authentication, storage, email and backup providers. Service availability may be affected by the performance, availability or policies of those providers.

Intellectual property

EquipDex's software, branding, design and original platform materials are owned by the operator or its licensors and are protected by applicable intellectual-property laws. Customer data remains the customer's.

Suspension and termination

We may restrict, suspend or terminate access to EquipDex if we reasonably believe a user or account poses a security threat, is engaged in unlawful activity, is materially violating these Terms, or is creating risk to the service or other customers.

Account closure

Customers may contact support@equipdex.net regarding account or company closure. We may need to verify authorization before processing a closure request.

Fees

EquipDex does not currently charge fees through the service. We do not promise that EquipDex will remain free. Paid plans or other fees may be introduced in the future and would be communicated before becoming applicable to an existing customer. These Terms do not create any subscription, trial period or payment obligation.

Disclaimer

EquipDex is provided on an "as is" and "as available" basis during Early Access, to the extent permitted by applicable law. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, except where prohibited by law.

Limitation of liability

To the fullest extent permitted by applicable law, EquipDex and its operator will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or relating to your use of the service, even if advised of the possibility of such damages. Our total liability for any claim arising from your use of EquipDex will be limited to the greater of the amount you have paid us for the service in the twelve months preceding the claim or one hundred Canadian dollars, if any such amount applies. Because EquipDex is currently free, the limit may be the minimum permitted by law. These limitations apply only to the extent permitted by applicable law.

Indemnity

You agree to defend and indemnify EquipDex and its operator from claims, damages and expenses arising from your misuse of the service, unlawful customer content or data, or your violation of these Terms or the rights of a third party.

Governing law

These Terms are governed by the laws of Alberta, Canada and the applicable federal laws of Canada, without excluding the application of mandatory consumer-protection or other laws that may apply in your jurisdiction.

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated in an appropriate way, such as through the application or by email. Continued use of EquipDex after the changes means you accept the updated Terms.
